These Terms of Service ("Terms") govern your access to and use of our website, mobile application, dashboard, and related services (collectively, the "Services"). By accessing or using our Services, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into binding agreements. When registering for an account, you agree to:

Callytix provides a SIM-based call monitoring and analytics platform that enables businesses to:

Track inbound and outbound calls made by employees

Generate reports on call activities and team productivity
Manage leads and customer interactions
Monitor employee compliance with calling protocols

4. License and Access Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only.

Restrictions:

You agree not to:

Reverse engineer, decompile, or disassemble the Platform
Attempt to gain unauthorized access to our systems
Use the Services for any illegal or unauthorized purpose
Interfere with or disrupt the Services or servers
Circumvent any security measures
Share your account credentials with third parties

5. Subscription Plans and Billing

Trial Period:

We offer a 15-day free trial without requiring payment information
Trial accounts may have limited features
We reserve the right to terminate trial accounts for misuse

Paid Subscriptions:

Subscription fees are as published on our Pricing page
Fees are billed in advance on a monthly or annual basis
All payments are processed through secure third-party gateways
Late payments may result in service suspension

Payment Methods:

We accept payments through Razorpay, bank transfers, and other authorized payment methods.

Refund Policy:

Trial periods are free and non-refundable
Paid subscriptions are generally non-refundable except as required by law
Refunds, if any, will be processed within 7-14 business days

6. Data and Privacy

Your Data Rights:

You retain ownership of your business data uploaded to the Platform
We process your data solely for providing the Services
You are responsible for ensuring you have rights to upload any data

Call Recording and Monitoring:

Call recordings are stored securely and encrypted
Recordings are accessible only to authorized users within your organization
You are responsible for complying with applicable call recording laws

Data Retention:

Call logs and recordings are retained for up to 2 years
Other business data is retained as needed for service provision
Data may be deleted upon account termination as per our retention policy

7. Intellectual Property

All intellectual property rights in the Platform, including software, algorithms, UI/UX, branding, and content, belong to Callytix or our licensors. You may not copy, modify, distribute, or create derivative works without our written consent.

8. Confidentiality and Data Security

Our Commitments:

We implement industry-standard security measures to protect your data
Data is encrypted in transit and at rest
Access is restricted to authorized personnel only
Regular security audits and updates are performed

Your Responsibilities:

Maintain secure passwords and account access
Report any security incidents immediately

9. Termination

By Us:

We may terminate or suspend your account immediately, with or without notice, for:

Breach of these Terms
Non-payment of fees
Illegal or unauthorized use
Extended inactivity

By You:

You may terminate your account at any time. Termination does not relieve you of payment obligations for services already rendered.

Effect of Termination:

Your access to the Services will cease immediately
We may delete or anonymize your data in accordance with our retention policy
Outstanding payments remain due

10. Warranties and Disclaimers

Service Availability:

Our total liability for any claims arising from your use of the Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim
We are not liable for indirect, incidental, special, consequential, or punitive damages
We are not liable for any loss of data, business interruption, or third-party claims

12. Indemnification

You agree to indemnify and hold harmless Callytix, our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your breach of these Terms
Your use of the Services
Any violation of applicable laws
Any third-party claims related to your data or business activities

13. Governing Law and Dispute Resolution

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of India, specifically the Information Technology Act, 2000 and its amendments.

Dispute Resolution:

Any disputes arising from these Terms shall be resolved through:

Good faith negotiations between the parties
Mediation by neutral third parties
Arbitration in Ahmedabad, Gujarat under the Arbitration and Conciliation Act, 1996

Jurisdiction:

The courts in Ahmedabad, Gujarat shall have exclusive jurisdiction over any legal proceedings.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, pandemics, government actions, or internet failures.

15. Changes to Terms

We may update these Terms periodically. Changes will be effective upon posting the updated Terms. Your continued use of the Services constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Callytix regarding the Services and supersede all prior agreements.

18. Wallet and Referral Program

18.1 Referral Program

You may participate in our referral program by sharing your unique referral code with potential customers.
When a referred company signs up and activates a paid subscription using your referral code, both you and the referee may receive wallet credits as promotional rewards.
Referral codes are unique to your account and may have usage limits or expiration dates as determined by us.
We reserve the right to modify, suspend, or terminate the referral program at any time.

18.2 Wallet Balance

Wallet credits earned through referrals or other promotional activities can be used to pay for subscription fees, add-ons, and other eligible services.
Wallet balance cannot be withdrawn, transferred, or converted to cash.
Wallet credits do not expire but may be subject to forfeiture if your account is terminated for breach of these Terms.
All wallet transactions are final and non-refundable.

18.3 Wallet Usage Terms

Wallet balance will be automatically applied to eligible payments before other payment methods.
If your wallet balance is insufficient for a transaction, the remaining amount must be paid through other accepted payment methods.
We may limit the use of wallet credits for certain services or promotions at our discretion.
